End-User License Agreement ("Agreement")

1A. AGE REQUIREMENT

The Software, and in particular the Honeygain SDK described in Section 8A, is not intended for use by anyone under the age of 18 (or the age of legal majority in your jurisdiction, if higher), and by installing or using the Software you represent that you meet this requirement. EH does not knowingly permit anyone under this age to enable the Honeygain SDK. If you believe a minor has installed the Software or enabled the Honeygain SDK, contact support@etz-hadaat.xyz and EH will disable the relevant installation's access.

1. LICENSE GRANT

Subject to your compliance with this Agreement, EH grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software solely for your personal or internal business purposes. No other rights are granted, expressly or by implication.

2. RESTRICTIONS

You may not, and may not permit others to:

• (a) copy, modify, adapt, translate, localize, or create derivative works of the Software;
• (b) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or structure of the Software;
• (c) remove, obscure, or alter any proprietary notices, labels, or marks on the Software;
• (d) rent, lease, lend, sell, resell, transfer, assign, sublicense, or distribute the Software or any rights to it;
• (e) use the Software for any purpose that violates applicable local, national, or international law or regulation;
• (f) circumvent, disable, or interfere with any technical protection measures or security features of the Software;
• (g) use the Software in a manner that violates GitHub, Inc.'s Terms of Service, GitHub Copilot Subscription Agreement, GitHub Acceptable Use Policies, or any other applicable third-party terms;
• (h) use the Software to scrape, harvest, or aggregate data beyond what is reasonably necessary for your personal or internal business monitoring purposes;
• (i) use the Software in any way that could damage, overburden, or impair GitHub's systems or APIs;
• (j) use the Software for competitive analysis, benchmarking, or to develop a competing product or service without EH's prior written consent;
• (k) publish, disclose, or otherwise communicate any benchmark or performance test results relating to the Software without EH's prior written consent.

3. BETA STATUS — "AS IS" DISCLAIMER

THE SOFTWARE IS A PUBLIC BETA OF A SHIPPED PRODUCT AND MAY CONTAIN BUGS, ERRORS, MISSING FEATURES, OR INACCURACIES. THE SOFTWARE IS PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS."

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EH EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION:

• any implied warranty of merchantability;
• any implied warranty of fitness for a particular purpose;
• any implied warranty of title or non-infringement;
• any warranty that the Software will meet your requirements;
• any warranty that the Software will operate uninterrupted, error-free, or securely;
• any warranty as to the accuracy, reliability, or completeness of data or results obtained through the Software;
• any warranty arising from course of dealing, usage of trade, or custom.

YOUR USE OF THE SOFTWARE IS ENTIRELY AT YOUR OWN RISK.

4. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• (a) IN NO EVENT SHALL EH, ITS AFFILIATES, SUBSIDIARIES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR ANTICIPATED SAVINGS; BUSINESS INTERRUPTION OR LOSS OF BUSINESS OPPORTUNITY; DAMAGE TO SYSTEMS, HARDWARE, OR OTHER SOFTWARE; OR COSTS OF SUBSTITUTE GOODS OR SERVICES — WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF EH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
• (b) EH'S TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING UNDER OR RELATED TO THIS AGREEMENT OR THE SOFTWARE SHALL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS (USD $100.00).
• (c) SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES. TO THE EXTENT SUCH EXCLUSIONS OR LIMITATIONS ARE NOT PERMITTED, THEY SHALL APPLY TO THE FULLEST EXTENT ALLOWED.

5. NO OBLIGATION TO SUPPORT, MAINTAIN, OR UPDATE

EH has no obligation, express or implied, to provide technical support, maintenance, updates, patches, bug fixes, security fixes, upgrades, new versions, or any other service in connection with the Software.

If EH ever chooses, in its sole discretion, to provide updates or new versions, such updates are subject to this Agreement, including any amendments adopted in accordance with Section 6(d), and may add, modify, or remove features or functionality without prior notice. EH may charge fees for future versions and is not required to offer continued access to free versions.

6. RIGHT TO MODIFY OR DISCONTINUE

EH reserves the right, at its sole discretion, to:

• (a) modify, add, remove, or alter any feature, function, or content of the Software at any time, without prior notice;
• (b) suspend or permanently discontinue the Software or any part of it at any time and for any reason, without prior notice;
• (c) terminate your access to the Software at any time and for any reason (or no reason), with or without notice;
• (d) amend this Agreement at any time. If a change is material, EH will notify you through the Software's built-in re-consent flow — identified by an updated agreement version digest — and you will be asked to review and accept the revised Agreement before you can continue using the Software. Non-material changes (such as clarifications, typo fixes, or formatting) may instead be posted within the Software or on EH's website without a separate re-consent prompt.

EH shall have no liability to you or to any third party for any modification, suspension, termination, or discontinuation made in accordance with this Section.

7. THIRD-PARTY SERVICES — GITHUB DEPENDENCY

The Software interfaces with APIs operated by GitHub, Inc. ("GitHub") to provide GitHub Copilot monitoring functionality. You expressly acknowledge and agree that:

• (a) EH is an independent developer and is NOT affiliated with, endorsed by, sponsored by, or in any way officially connected with GitHub, Inc. or any of its products or services. "GitHub" and "GitHub Copilot" are trademarks of GitHub, Inc.;
• (b) EH has no control over the availability, functionality, pricing, or terms of GitHub's APIs, the GitHub Copilot service, or any other GitHub product;
• (c) EH is not responsible for, and shall have no liability arising from, any change, disruption, outage, degradation, discontinuation, or modification of GitHub's APIs or services;
• (d) you are solely responsible for ensuring your use of the Software complies with GitHub's Terms of Service, GitHub Copilot Subscription Agreement, GitHub Acceptable Use Policies, and all other applicable GitHub terms and policies;
• (e) you are solely responsible for the security of all credentials, OAuth tokens, and personal access tokens you use in connection with the Software. EH assumes no responsibility for the handling, storage, or security of any such credentials;
• (f) you are solely responsible for all data you access, retrieve, or process through GitHub's APIs using the Software, and for the legality of such access and use;
• (g) any third-party services you interact with through the Software are governed entirely by those services' own terms and privacy policies, which are your sole responsibility to review and comply with.

8. DATA COLLECTION AND PRIVACY

The Software itself does not currently collect or transmit any telemetry, analytics, usage statistics, or crash reports to EH. Data the Software handles — your GitHub access token, and the repository, task, and pull-request metadata you view — is either (a) processed and stored locally on your device (including your OS keyring/secure storage and local caches), or (b) sent directly from your device to GitHub's own APIs at api.github.com. EH does not operate a backend server for the Software and does not receive or store this data.

If EH ever adds telemetry, analytics, or any other form of data collection to the Software, this Section and EH's Privacy Policy will be updated first, and you will be asked to re-consent to the updated terms in accordance with Section 6(d) before that collection begins.

GitHub OAuth scopes and organization data visibility. See Privacy Policy Section 1 for the specific GitHub OAuth scopes the Software requests and for the org-admin data-visibility disclosure (what an organization admin or billing-rights account can see about other members). You may revoke the Software's authorization at any time at github.com/settings/applications.

This Section 8 does not describe the Honeygain SDK, which is addressed separately in Section 8A; Honeygain (not the Software) generates and reports the bandwidth-usage and compensation data that determines EH's payment from Honeygain.

8A. HONEYGAIN

Using Co-Tower currently requires you to accept both this Agreement and the Honeygain Software Development Kit ("Honeygain SDK") consent below — there is no way to install or use the Software without also accepting the Honeygain SDK. By accepting, you turn on the Honeygain SDK and join the Honeygain network.

The Honeygain SDK uses your IP address and Wi-Fi/mobile internet connection to relay requests on behalf of third-party businesses, for purposes such as web analytics, ad verification, brand protection, and price comparison, as described by Honeygain. Once you have consented, it starts automatically each time you launch the Software.

ETZ-HADAAT is compensated by Honeygain for SDK usage generated through the Software. You do not receive any payment or other compensation for your participation in the Honeygain network.

No Warranty Against Network Interference. Relaying third-party traffic through your IP address may cause websites, services, or platforms to rate-limit, CAPTCHA-challenge, temporarily restrict, or block your IP address, or may affect your connection's speed or your IP address's reputation with third-party services, independent of anything you personally did. EH makes no warranty that participation in the Honeygain network will not result in these or similar effects, and disclaims all liability for them to the maximum extent permitted by applicable law.

Third-Party Traffic Relayed Through Your Connection. The Honeygain SDK relays traffic on behalf of Honeygain's business customers; EH does not select, control, or monitor the content of that traffic and cannot guarantee it will never include abusive, fraudulent, or unlawful use by third parties. If you receive an abuse complaint, notice, subpoena, or inquiry from a third party (including your ISP, a website, or a government authority) relating to traffic relayed through your connection via the Honeygain SDK, you should direct it to Honeygain, whose contact and policies are linked above; EH has no visibility into and no liability for the content of relayed traffic.

Metered and Capped Connections. The Honeygain SDK relays traffic continuously in the background whenever it is active, consuming your internet data allowance like any other background application. If you use a metered, capped, pay-per-byte, or mobile/hotspot connection, enabling the Honeygain SDK may cause additional charges from your internet or mobile provider. By enabling the Honeygain SDK, you represent that you have checked whether your connection is metered or capped and accept sole responsibility for any resulting data charges. Neither EH nor Honeygain reimburses, and both disclaim all liability for, any such charges.

Your Authority to Share This Connection. By enabling the Honeygain SDK, you represent and warrant that you are the account holder for the internet connection the Software will use, or that you otherwise have the account holder's or network administrator's permission to use that connection in this way, and that doing so does not violate any acceptable-use policy, contract, or rule imposed by your internet service provider, employer, educational institution, landlord, or other network administrator. You are solely responsible for confirming this before enabling the Honeygain SDK, and for any consequences — including loss of network or account access, disciplinary action, or contractual liability — if it turns out not to be the case. EH has no liability for such consequences.

Vendor Substitution. EH may replace the Honeygain SDK with comparable bandwidth-sharing or monetization software from a different vendor at any time. Doing so is a material change under Section 6(d); EH will update this Section to name the new vendor and link its terms, and you will be asked to re-consent before the replacement software is enabled on your device.

THIRD-PARTY DISCLAIMER. Honeygain is a third-party service provided by Honeygain, not by EH. Your participation in the Honeygain network and your use of the Honeygain SDK are governed solely by Honeygain's own Terms of Service and Privacy Policy. EH is not a party to your relationship with Honeygain and, to the maximum extent permitted by applicable law, EH makes no representations or warranties of any kind regarding Honeygain and accepts no responsibility or liability for the Honeygain SDK, the Honeygain network, their availability, performance, security, or data practices, or for any data usage, charges, loss, damage, or other issues arising out of or related to your participation in the Honeygain network. Any claims relating to Honeygain must be directed to Honeygain. To the extent any liability related to the Honeygain SDK or the Honeygain network is not fully excluded by this Section, it remains subject to the disclaimers, exclusions, and aggregate liability cap in Sections 3 and 4.

9. INTELLECTUAL PROPERTY

The Software, including all code, interfaces, graphics, documentation, and all updates and modifications thereto, is and shall remain the exclusive intellectual property and proprietary information of ETZ-HADAAT Machine Learning Services LTD, the sole provider and owner of the Software and all related services.

This Agreement transfers no ownership, title, or intellectual property rights to you. You receive only the limited license expressly stated in Section 1. You may not use EH's trademarks, trade names, logos, service marks, or brand elements without EH's prior written consent.

10. OPEN-SOURCE COMPONENTS

The Software may include or depend upon open-source software components governed by their respective licenses. Information about those components and their licenses may be made available at EH's discretion via the Software's documentation or website. Nothing in this Agreement restricts your rights under any applicable open-source license, and nothing in any open-source license limits EH's rights under this Agreement with respect to EH's proprietary portions of the Software.

11. INDEMNIFICATION

You agree to indemnify, defend (at EH's option), and hold harmless EH, its affiliates, subsidiaries, directors, officers, employees, agents, and licensors from and against any and all claims, actions, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• (a) your violation of this Agreement or any applicable law or regulation;
• (b) your violation of any third-party right, including any intellectual property right or privacy right;
• (c) your violation of GitHub, Inc.'s Terms of Service, GitHub Copilot Subscription Agreement, GitHub Acceptable Use Policies, or other applicable third-party terms, in connection with your use of the Software; and
• (d) any content or data you access, submit, or transmit through the Software in violation of this Agreement or applicable law.

If EH assumes the defense of a matter otherwise subject to indemnification under this Section, you agree to cooperate reasonably with that defense.

12. TERM AND TERMINATION

This Agreement is effective from the date you first install, access, or use the Software and continues until terminated.

EH may terminate this Agreement and your license, immediately and without notice, at any time and for any reason or no reason whatsoever. You may terminate by ceasing all use of the Software and permanently deleting all copies in your possession or control.

Upon termination for any reason:

• your license and all rights granted herein immediately and automatically cease;
• you must stop using the Software and delete all copies;
• Sections 1A, 2, 3, 4, 5, 7, 8, 9, 11, 12, 13, 14, 15, 16, and 18 shall survive termination.

Termination does not limit any other rights or remedies EH may have at law or in equity.

13. FORCE MAJEURE

EH shall not be liable for any failure or delay in performance of its obligations under this Agreement to the extent caused by circumstances beyond EH's reasonable control, including without limitation: acts of God; natural disasters; pandemic or epidemic; war, terrorism, or civil unrest; government action, sanction, or regulation; failure or unavailability of third-party services (including GitHub's APIs); internet or telecommunications outages; cyberattacks; power failures; or labor disputes.

EH may, at its sole discretion, suspend, modify, or terminate the Software or this Agreement during or following any such event without liability of any kind.

14. FEEDBACK AND SUBMISSIONS

If you provide EH with any feedback, suggestions, ideas, bug reports, feature requests, or other communications relating to the Software ("Feedback"), you hereby assign to EH, irrevocably and without restriction, all right, title, and interest in and to such Feedback, including all intellectual property rights therein. EH may use, disclose, reproduce, license, distribute, and commercialize the Feedback in any manner and for any purpose without restriction, compensation, or obligation to you. You waive any moral rights you may have in the Feedback.

15. THIRD-PARTY AND AI-GENERATED CONTENT DISCLAIMER

The Software interfaces with GitHub Copilot and other third-party AI-powered services. You acknowledge and agree that:

• (a) any content, output, suggestion, recommendation, or result generated by or retrieved through a third-party AI service is produced entirely by that third party and not by EH;
• (b) EH makes no representation, warranty, or guarantee as to the accuracy, completeness, legality, appropriateness, or fitness for any purpose of any AI-generated or third-party content accessed through the Software;
• (c) you are solely responsible for evaluating, verifying, and determining the suitability of any content or output before acting on it;
• (d) EH shall have no liability for any harm, loss, or damage arising from your reliance on any AI-generated or third-party content accessed through the Software.

16. EXPORT COMPLIANCE

You represent and warrant that: (a) you are not located in, or a national or resident of, any country to which Israel, the United States, the European Union, or any other applicable jurisdiction has embargoed goods; and (b) you are not listed on any government list of prohibited or restricted parties. You agree to comply with all applicable export control and trade sanctions laws and regulations.

17. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law rules.

Any and all disputes, controversies, or claims arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be submitted to the exclusive jurisdiction of the competent courts in Tel Aviv, Israel. You irrevocably consent to the personal jurisdiction of such courts and waive any objection to the laying of venue in such courts.

CLASS ACTION WAIVER: TO THE FULLEST EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO INITIATE OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING AGAINST EH. ALL CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY.

Nothing in this Section limits any non-waivable statutory rights you may have as a consumer under the mandatory law of your country of habitual residence, to the extent such law applies notwithstanding this choice of law and forum.

18. GENERAL PROVISIONS

Entire Agreement. This Agreement constitutes the entire agreement between you and EH with respect to the Software and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral.

Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable under applicable law, the remaining provisions shall continue in full force and effect, and the invalid, illegal, or unenforceable provision shall be deemed modified to the minimum extent necessary to make it enforceable.

No Waiver. EH's failure to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision or any other right or provision.

No Agency. Nothing in this Agreement creates any agency, joint venture, partnership, or employment relationship between you and EH.

Assignment. You may not assign or transfer this Agreement or any rights or obligations hereunder without EH's prior written consent. EH may assign this Agreement freely without restriction.

Headings. Section headings are for convenience only and shall not affect the interpretation of this Agreement.
